About Capital System Of Company In Russia

Capital is one of the main factors of protection for company normal work,but also it is one of company law' s basic concepts.With the development of market economy,the company registered capital' s role is growing.The modern Russian business culture started to decide more difficult task of company capital.Before 1991,the Russian economy is planned economy,so the capital is controlled and estimated by the state only.After the Soviet Union collapsed,Russia began to realise market economy system,however,for Russia market economy and capital system are very fresh,so it caused some standarts of capital system are not regular,especially in the legal control and legal interpretation levels.And now the Russian economic system still in transition stage,there is a variety of all types of enterprises,so the legal interpretation and control level of company capital system is very important.It is worth noting that Russian law in order to solve the company law's problems has made a great contribution.In the 70's of the 20th century the Soviet government gave the rights of controlling capital to companies,but in fact they can not achieve this right because state's control was comprehensive,so many company owners didn ' t have any interest for the effective use of capital,and only after the Soviet Union collapsed,goverment began to pay attention to the importance of this problem.To solve this problem Goverment in 1995 issued Russian Federation Limited Liability Company Law,and then in 1998 also issued Russian Federation Stock Company Law,these Federal laws has played a very large role for the company capital system' s improvement.In 2016 the 3d of July Russian Federation Duma issued "Amendments to some Federal statutory laws",which made some adjustments to Limited Liability Company Law and Stock Company Law.After these adjustments in 2017 the 1st of January Limited Liability Company Law and Stock Company Law start being implementable.The current Russian Corporate Law has been modified many times,however there are many problems in current Russian corporate law,company capital system is still far from perfect,so Russian company law improvement road still needs its lawmakers efforts.The article content as follows:The first part introduces the article's research purpose and significance,research content and the scope of the study and methods,for the full text of the article was made the overall summary.The second part introduces the company capital system's basic concepts,including legislative history of company capital system,concepts of company capital and company capital system.The third part mainly analyses Russian company capital system' s main content and current situation;detailed content includes capital formation,shareholders capital contribution,capital changes and capital repurchase.The fourth part mainly introduces Russian company capital system problems and deficiencies.Problems such as system disorder,the minimum registered capital system imperfection,shareholders investment ways aren ' t enough comprehensive and funded programs are imperfect,share repurchase program isn' t perfect,haven't resolved,they are not good for company capital system development.The fifth part proposes recomendations for the improvement of Russian company capital system.Mainly through improvement of the whole system,cancelling the minimum registered capital,the expansion of shareholder contribution ways and improvement of funded program,improvement of share repurchase system these four ways to improve Russian company's capital system.This article attempts to find out the problems of current Russian company capital system by analysing Russian company law,company capital system and other current situations,and on this basis,through learning from foreign countries with some advanced experience,to encourage circulation of company's capital.
