The new "Company Law" amendment was officially implemented on March 1, 2014. Compared with the original, the new "Company Law" amendment mainly modified on the system of registered capital, while other changes are also around the registered capital. About the registered capital system, it mainly concentrated on the abolition of the minimum amount registered capital and from paid subscription system to subscription system, which came from the commercial registration system reform in Shenzhen area. From local to the national pilot reform, then to the law, there must be some reasons in less than two years. Whether it is rational and can get a better implementation of the new law, more explore of the issues is needed.In this paper, the first chapter elaborates the definition of registered capital in order to analysis the function and the system type, combined with China’s economic and political environment to introduce the practical process of the reform of the system of registered capital. The second paragraph analyze the necessity of the reform from the change on function and value of the registered capital and talk about the rationality of the modified from limited liability system and the creditorbenefit protection.we can realize the necessity and rationality through the discussion of the second paragraph.Then, the third section introduces the system from the practical level of the modified actual operation situation and the possible problems which should be paid more attention. Followed by the fourth period, was a key paragraphs of this article, from the change of form a complete set of system itself, the system implementation scheme and the application of the laws related to three aspects to perfect suggestions, in order to create a better promotion of the implementation of the new "company law" amendment.
