Study On Shareholders' Inspection Right Of Limited Liability Company

This article is based on the current situation of legislation and implementation of shareholders' inspection right in limited liability company system in our country,as well as analyzing typical cases hearing by Chinese courts in recent years,using methods such as comparative study,case study and generalization and summarization,referring legislation of company law of developed countries such as Britain,the United States and Germany,deeply analyzing dilemma and problems of the existing shareholders' inspection right.On this basis,put forward suggestions for the improvement of the system of right of shareholders' inspection right,to offer some humble effort to the development of company law in China.Specifically,in addition to the preface and epilogue,this article is divided into the following five chapters:Chapter ?,raising problems:concerning thoughts from a few cases.Put forward four typical cases and analyze the existing common issues,which leads to the theme of this paper.Chapter ?,overview of shareholders'inspection right.Mainly analyze the basic theory of the right of shareholders' to consult,and define connotation,characteristics,nature and positive meaning of shareholders' inspection right.Chapter?,survey of the legislation of domestic and foreign shareholders' inspection right.On the analysis of the right of shareholders'to consult system of the United States,election and appointment of candidates system of Britain and shareholders' inspection right of Germany,combine with the current state of legislation in China,and summarize enlightenment from foreign legislations on shareholders inspection right to our country.ChapterIV,the problems of shareholders' inspection right system in our country.From the angle of legislations and the theories of interpretation analyze in detail the problems existing in the shareholders' inspection right system in our country.Chapter ?,to perfect methods of choosing shareholders' inspection right system in China.Combining with the existing problems learning from the advanced experience of foreign legislations,put forward perfecting suggestions of feasibility from subject,object,procedure,the burden of proof,due purpose,methods of performing,and remedy approaches.
