Research On The Legal Issue Relating To The Crowd-funding

In recent years,as a new type of financing way based on Internet,Crowd-funding emerging in Chinese capital market for its open,common-age and half penny.Chinese Crowd-funding has increasing substantially in 2015 in its platform and project numbers.However,our country constrained the Internet financial strictly in 2016,requiring all the shares do not break through the existing law system for its development and operation,which made its development liking staking on thin ice,and experienced a "roller coaster" type of development journey.But the Crowd-funding has profound and lasting significance in promotion of small micro-enterprise's development,activating private capital and so on.So it cannot be stifled because of the legal environment issue and other factors.This article will be described from the following four aspects.The first part of the article is the concept and characteristics of the Crowd-funding,and states the necessity of developing the crowd-funding,which foreshadows the existing legal issues in it.The second part analyzes the existing legal issues in the crowd-funding.This part summaries and analyzes the legal problems existing in participants of crowd funding,including the legalization,qualified investor,financier limiting and the lacking protection in privilege of investors issues.The third part is the legal regulation and revelation of foreign Crowd-funding.This part analyzes the United Kingdom,the United States,Italy,this relatively perfect crowd-funding analysis of the country to analyze the understanding of the United Kingdom,the United States,Italy,the legalization of crowd-funding and the specific regulation of the main participants,and derived from China's crowd-funding Enlightenment of legalization and specific regulation.The fourth part is the regulation of China's crowd-funding.Under proposing the basic principle of the regulation of crowd-funding in our country,I put forward the basic route of the regulation of crowd-funding in our country.First,it clearly determines the legal status of the crowd-funding,the crowd-funding of the various participants involved in the principle of regulation,in order to improve the construction of crowd-funding in China to create a prerequisite for specific regulation.Second,I propose specific solutions to the major legal issues faced by the participants of the crowd-funding.
