Study On The Legal Issues Of Limited Partnership Cultural Industry Investment Fund In China

The main organizational forms of the existing cultural industry investment funds are corporate,trust and limited partnership,the limited partnership has become a main model of China's cultural industry investment fund with its unique advantages,and has been further developed in China.The research on the development status of the limited partnership cultural industry investment fund and the existing legal problems can help the further development of China's cultural industry investment fund and promote the revitalization of China's cultural industry.This thesis studies the legal problems of the development of China's limited partnership cultural industry investment fund by two methods:case method and comparative method.And it discovers that the limited partnership cultural industry investment fund lacks supporting laws and regulations;partner access system has not been complete;the protection of limited partners has still been insufficient;the regulatory system and the positioning of the government in the cultural industry investment fund are unclear.Considering these problems,the author puts forward several ways.Firstly,a complete legal system should be built,including the development of unified legal norms and relevant supporting laws.Secondly,the partner access system should be perfected,such as the expansion of the number of partners and the release of restrictions on partner qualifications.Thirdly,the government should strengthen the protection of limited partners by improving the limited liability of limited partners,perfecting the financial commitment contribution system and information disclosure requirement,and introducing the decision-making committee system.Besides,the unified supervision legislation should be strengthened;the responsibilities of the regulatory bodies should be cleared;the model of cultural industry self-regulation should be put in the first place,while the government regulation is supplementary.Finally,it should be pay more attention to the role of the government as fund supplier,policy supporter,and regular to better promote the development of China's limited partnership cultural industry investment fund.
