Study On The Legal Regulation Of Unlisted State-controlling Enterprises' Information Disclosure Of China

After the reform and opening up,the information wave sweeps the world,and information disclosure has gradually became a social proposition,In China's socialist market economic system,the state-owned enterprises,as the core of the public owned economy,occupy the leading position,and its development is an important issue concerning the national economy and the people's livelihood,In recent years,state-owned enterprises in the operation revealed multiple problems and triggered the concern of effective supervision by government,academia and the public,The core of effective supervision is the master of production information management,International society has carried out a lot of practice and information disclosure has gradually developed into state-owned enterprises' effective supervision and management system,Also,the practice of this system proves the necessity and effectiveness,Based on this premise,improving the legal regulation of unlisted state-controlling enterprises' information disclosure is studied in this thesis,which is divided into five chapters.The first chapter of this research is the problem introduction,Based on the current information society's background and non listed state-owned holding enterprise information opaque to a series of problems,the writer make a review of the literature and find there is a vacancy,which becomes the origin of this research,This chapter also elaborates the major focuses on this problem.The second chapter is intended to focus on the related basic theory,First of all,it is the connotation and the nature of non listed state-owned holding enterprises,Then,it comes the relevant theory of information disclosure,This chapter views the connotation and significance of information disclosure from the perspective of communication,Finally,this chapter focuses on the social contract theory and principal-agent theory which lay a foundation for discussing the theoretical basis of non listed state-owned holding enterprises' information disclosure,and points out that a series of problems from current information opaque show the practical necessity.The third chapter exams existing unlisted state-controlling enterprises' information disclosure legal system,This chapter finds that although the Constitution and other laws and regulations contain some relevant provisions,they are still not enough,The current situation also shows that the information disclosure system is ready to be made,Because the current legal system is not comprehensive,unlisted state-controlling enterprises' information disclosure practice is also not optimistic,which means the need of a comprehensive legal system.The fourth chapter mainly focuses on what we can learn from experience of domestic and abroad practices,For the international experience,this chapter discusses it from the perspectives of subject,object,content,method and responsibility,For the domestic experience,the chapter focuses on the information disclosure mechanism of China's listing Corporation.The fifth chapter is the core part of this thesis,On the basis of previous analysis,this chapter concludes the way to perfect our unlisted state-controlling enterprises' information disclosure mechanism,First of all,this chapter points out the overall thinking is to consider the revealed problems and advanced experiences then make the perfection of information disclosure legal system,Besides,it is subdivided into four parts,The first part is the basic content of the information disclosure,based on the perspectives of object,main body,time and way of information disclosure,The second part is to consider the perfection of the mechanism from the perspective of enterprise internal governance,The third part considers the coordination of the third party organizations,the public and other subjects in the process of information disclosure,Finally are the legal responsibilities of related illegal acts and crimes.
