?Information Disclosure refers to the enterprise, in accordance with specific norms and procedures, make their financial and non-financial information available to information users. The system was first established by Companies Act 1845 of the United Kingdom, when came into the twentieth century, with the further socio-economic development, information disclosure system already evolve into a mature modern enterprise management system under market economy , which be accepted commonly by the government regulatory authorities, investors, creditors as well as consumers of goods and public. Information disclosure as a mature modern supervision and management system, which is the inevitable result of economic development and business progress, the introduction of this system to state-owned enterprises (SOE), can effectively curb the inefficient and weak supervision of state-owned enterprises.This paper is divided into four Chapters. Chapter One, form theoretical angle, mainly concerns about the reasonableness, necessity and feasibility of the state-owned enterprises (SOE) information disclosure system, through economic analysis of information disclosure system, demonstrated there is a positive effect with the establishment of a SOE information disclosure system in improving operational efficiency, enhance the regulators and the public to supervision the operational status of SOE, also through legal analysis to prove that there is a solid legal foundation for the establishment of SOE information disclosure system; Then from the development status of China's SOE and regulatory institution-building etc., shows that China has met the requirement to establish SOE information disclosure system, and international practice also provides us with a very ?good reference sample.Chapter II, Chapter III and Chapter IV is the hardcore of this article, foreshadowing the previous text on theoretical analysis, from respectively, subject, content, procedures three areas, build specific system, and put forward my own proposals. Chapter II, focuses on the person involved in SOE information disclosure system, which is divided into information disclosure obligations and users, information disclosure obligations were divided into two type, one is regulatory and the other is SOE, according to criteria such as market position, in which SOE in turn are divided into three different types and each shoulder different obligations; Chapter III analysis different character of Information Disclosure system between SOE and other areas, as well as the selection criteria of the SOE information disclosure System content to determine which should be included in; Chapter IV mainly discusses the procedures which SOE information disclosure system should adopt, in addition to the compulsory information disclosed, also introduced the practice used by foreign countries as make-up methods.This paper, as a legal thesis, focused on the legal aspects of system Construction. Considering the knowledge limitations of author, detailed design and implementation still need further multi-disciplinary discussion.
