The real estate industry has gone through a golden period of more than ten years and entered a stage of steady development.The market supply and demand situation has undergone great changes,and the housing enterprises are facing development difficulties.Tightening of real estate control policies,bank loans,and other traditional financing channels are becoming weak.Coupled with the long period of capital repatriation of real estate companies and the large demand for funds,most housing companies are under pressure from shortage of funds.It is imperative to seek new financing channels.The rise of internet finance has provided new ideas for the innovative financing model of real estate companies.Real estate crowd-funding has emerged as a result,and it has blossomed all the time.However,due to the lag in laws and the lack of legislation in related fields,the legality of real estate is questioned and the legal risks it faces cannot be ignored.In the first chapter of this article,based on the introduction of the origin of crowd-funding,the concept of crowd-funding and real estate crowd-funding is defined.The operation mode and operation process of real estate crowd-funding with different models are analyzed.The legal relationship between the three parties of real estate crowd-funding is also made.The second chapter explores the definition of legal risks and the causes of real estate crowd-funding facing the legal risk mechanism,clear the focus of risk research: analysis of legal risks from the laws and regulations and the participation of the subject's behavior;the third chapter briefly reviews China's real estate crowd-funding policy and legislation condition,pointing out the legal dilemmas faced by real estate crowd-funding,specifically discussing the legal risks faced by the tripartite entities in real estate crowd-funding activities;Chapter 4 borrowed from the legislative experience of the United States in the field of real estate crowd-funding,and it was a real estate crowd-funding project in China.Solve the legal issues and provide ideas: Improve the legal and institutional standpoints,and propose risk prevention suggestions from three aspects: real estate developers,crowd-funding platforms,and investors.
