ST system is the product of the environment in a particular system, but with the development of economy, especially the increasing of the ST listed company, the system has seriously hindered the development of Chinese stock market, and become in recent years, the government and market regulators had ills, is one of the hot topics in the study of domestic scholars.The existing research of ST plate mainly focused on ST enterprise financial early-warning, internal control and management and information disclosure, earnings management or through the empirical analysis of the ST companies financial data to explore ST stock prices reflect the financial position or research from the Angle of salary incentive ST companies. But few from ST companies executive pay, the relationship between operating performance and social responsibility Angle research how to make ST enterprise out of trouble, on the right track.Although the scholars at home and abroad since the 1970 s have focused on enterprise executive pay, the relationship between operating performance and social responsibility issues, and demonstrates the executive compensation from different angles, operating performance and the relationship between the social responsibility, such as how to determine reasonable compensation to motivate executives to improve business performance? Enterprise performance really can be regarded as the reference of executive compensation set? For the implementation of the corporate performance and corporate social responsibility has relations with related? Executive pay, business performance, and social responsibility is how influence each other and so on questions, but most of these studies is to cut out the ST companies. ST companies are in trouble reason is various, for the poor financial performance of ST companies, how to balance the executive compensation, business performance and the role of the relationship between the social responsibility to reach out is more worth exploring issues.Narrow empirical research methods, this paper chooses 2009-2009, ST listed companies operating performance data to explore its executive pay, and the intrinsic relationships between social responsibility and aims to provide feasible Suggestions for the sustainable development of the ST companies. In this paper, the results of the study:(1) the positive correlation between corporate social responsibility and corporate financial performance, unreasonable salary incentive policy will lead to the short-term behavior of executives, lead to enterprise is not normal to perform the social responsibility;(2) the executive compensation and corporate social responsibility is positive correlation, executive compensation incentive behavior to a certain extent, can make the listed companies to increase their social responsibility;(3) basic salary will strengthen the relationship between corporate social responsibility and corporate performance;(4) social responsibility report has disclosed fixed number of year and was significantly positively related to social responsibility. Along with the increasing length of has disclosed that the social responsibility of listed companies management more perfect, to undertake social responsibility.
