The dissolution of the company is usually the result of the free will of all the shareholders.However,due to the unstable factors,the voting mechanism,the decision-making body and the supervisory institution of the company will be lost due to the instability of shareholders or directors in the actual operation of the company.Shareholders to upgrade the conflict,in order to get rid of the plight of the company,shareholders will resort to external forces to solve the company.It is common for shareholders to bring a company to dissolve a lawsuit.It is common for shareholders to bring a company to dissolve a lawsuit.The revision of the "Company Law" related to the contents of the dissolution of the provisions of the company is too principle,resulting in the judicial practice of the lack of uniform standards of the referee.In view of this kind of problem,the dissolution of the company needs to be analyzed,understood and applied from the aspects of empirical study,comparative study at home and abroad,and theoretical research.Through the analysis of the concept of judicial dissolution,this paper uses the method of empirical analysis to analyze the 825 judicial documents of all levels of courts in China as of July 10,2016,from the revision of the Company Law of 2006,The author analyzes the actual operation of the judicial dissolution system and the tendency of the judge to dissolve the dissolution of the company and the difficulties of the court in different situations to make an empirical analysis of the judicial dissolution of the company.The author uses the comparative law at home and abroad,with reference to the relevant theories of domestic scholars and the abundance of foreign laws and regulations,and puts forward some opinions on the judicial dissolution system under the current legislation.
