Research On The Company's Social Responsibility Issues

The popularity of the corporate social responsibility contributes to prevent the corporations from harming other entities’ interests and social interests as they pursue their economic interests, which has become a focus in corporation law study. However,there are lots of views of the corporate social responsibility, and it is far from a unified definition. Currently, Chinese corporations have endeavored to implement their social liabilities and achieved certain improvements, however, it is still necessary for us to make a further study in this area from academic perspectives.My thesis is deemed to carry out research from three theoretical perspectives and aims at illustrating the implications of the corporate social responsibility and how to realize it. In the first part of my thesis, the rationale of the corporate social responsibility is analyzed in order to verify the justice of it, however, it still stays on the level of morality liability instead of law liability, and it has a close relationship with soft law; in the second part, instead of the traditional praise, the author makes a calm rethinking of the corporate social responsibility and points out that the vagueness of the concept and the diversified implications are very easily utilized to harm the corporation interests and pass risks and liabilities to the corporation. As a result, it is necessary to limit the corporate social responsibility; in the third part of my thesis, the author focuses on the topic of how to realize the corporate social responsibility. Firstly, the author makes a study of the foreign corporation and further consolidates the view that the corporate social responsibility falls within the realm of morality liability and it is not a good idea to realize the corporate social responsibility under the pressure of law. Consequently, the view that the corporate social responsibility shall be subordinate to judicial supervision is not adoptable, for it is not logical. The realization systems shall include four perspectives, i.e. self-determination, negotiation, stimulation, as well as guidance. And furthermore, the four systems shall coordinate with each other and contribute to prompt the corporation to bear the liabilities actively.
