The Law And Practice Of Equity Incentives For State-owned Enterprises

The purpose of this paper is mainly based on the current implementation of the relevant laws and regulations on equity incentive in our country.Through the case of the implementation of equity incentive by the relevant state-owned enterprises,the legal problems of the legal system of equity incentive still exist in practice,including legislative issues And internal corporate governance and external capital market issues.At the same time,in view of the problems,the paper puts forward suggestions on improving the state-owned enterprises' equity ownership incentive at the legislative level,the supporting legal level,the internal governance and the improvement of the external capital market.The main content of this article is divided into three parts: the first part is the legal theory of equity incentive.First of all,it briefly introduces the meaning of equity incentive and its development at home and abroad,and comprehensively and systematically understands equity incentive.Secondly,it mainly introduces the legal characteristics of equity incentive and the legal documents and guidance of equity incentive in our country,and elaborates the current legal provisions on the formulation of equity incentive in our country.Thirdly,it expatiates the four kinds of incentive modes of implementing equity incentive at present,and the positive effects that it has.The second part focuses on the existing problems of state-owned enterprise equity incentive in our country,including legal aspects,internal governance and external market environment,and analyzes the problems of legislation and the lack of system in detail.The third part is the main points of the practice of equity incentive,that is,the main approach to solve the above problems,from how to improve the relevant laws and rules,how to establish the internal and external restraint mechanisms of equity incentives,and put forward some specific suggestions.
