In the overall development of China's economy,the small and medium technology companies always occupy an important position,which through the technology and other aspects of innovation and upgrading,for the development of the economy played a great role in driving.These high-tech innovative enterprises are the new engine and power source of China's economic development,and how to attract and retain the core technical personnel and management personnel in such enterprises are the key to their sustainable development.To these general lack of financing and financing channels,the equity incentive is an effective way to attract talent.This paper aims to promote the healthy development of enterprises by guiding more domestic enterprises to adopt the equity incentive way with their own characteristics,and to promote the healthy development of enterprises,through the reform of equity incentive,which can further increase the overall competitiveness of enterprises,and get better development in the market competition.This paper mainly uses the combination of case analysis and literature research method,through the combination of equity incentive theory and case study of the combination of empirical analysis.These non listed enterprises in all aspects of the conditions are not as good as have been listed on the peer companies,so how can the interests of employees and the company's unified interests,which will promote the enterprise development in the future.A information technology company is facing many business problems in the implementation of equity incentive,especially inadequate in attracting top talent,not only the average employee turnover rate is higher,and the core staff easy to hire peer companies,which led to the company's development too difficult.According to the characteristics of the company through the implementation of the equity incentive plan,and the use of innovative option pool and technology equity and other financial instruments,giving them proper stock options,the company's technology backbone and the interests of senior management and the company's long-term interests closely together,which will have a positive significance for very large this company,to strengthen their core competitiveness,reduce operating costs,will have a significant role in improving aspects of employee's work enthusiasm,which is also listed SME equity incentive to reach the final goal.In addition to the research results of this paper,the A information technology company in Tianjin has provided guidance to the same type of enterprises.For the implementation of equity incentive must be tailored according to local conditions,combined with its own characteristics to make innovation,and strive to form a shareholder and incentive object win-win results.
