The development of globalization is the development of enterprises into a listed company to rraise funds is a goal of lots of business,but because the direct listing of the longer time cannot meet the urgent needs of enterprises for the funds,and the application process is relatively cumbersome,many companies discouraged.At this time,"backdoor listing",because of its short financing time,high efficiency and other advantages,and gradually entered the vision of these companies.China's "backdoor listing" originated in the mainland enterprises for Hong Kong enterprises to achieve the purpose of mergers and acquisitions in Hong Kong to achieve the purpose of the beginning of a shorter time,for the "backdoor listing" theory and the actual research are relatively late,more in-depth Lack of knowledge.The "backdoor listing" trading venues and legal systems are not very perfect.In the perspective of real estate enterprises,we cannot ignore the financial impact of the enterprise.Real Estate Business spend a lot of money in the building to buy houses.Due to the special nature of the real estate industry,the proceeds of its sales and cannot fill the cost of the gap in time.However,the conditions of bank commercial loans are more and more harsh,the amount of loans is also getting lower and lower.So it cannot meet the needs of Real Estate Business,making the development of Real Estate Business stagnant.As the backbone of the financing market,the stock market higher entry requirements,only a few large-scale real estate enterprises can achieve IPO standard,and Chinese real estate industry most companies of SMEs,and therefore cannot open the IPO of the road,so eyeing the backdoor listing of the road.I hope that through the backdoor listing of shortcuts to avoid the higher IPO conditions to ensure their financing channels,to promote the development of enterprise,enhance corporate value.This paper,based on real estate company——JHZY,researches and analyzes cases of successful backdoor listing,hoping to provide some guidance for other real estate business.Coupled with the economic background of real estate industry,this paper introduced the concept of Backdoor Listing,analyzed the problems of transaction.Combined with this backdoor listing,this paper has made a comment on backdoor listing effect in such aspects as performance appraisal by Factor Analysis.This involves in the analysis of financial metrics and market competitiveness.Definitely we can found the company after the backdoor listing to expand the financing channels,financial situation improved,the market has a good respond to backdoor events,businesses add value.All of these can reflect on the price of stock.Based on the above analysis shows that the backdoor listing of JHZY achieve the desired results.
