In recent years,with the deepening of China's economic reform and the great change of market environment,more and more large enterprises tend to adopt some form of mergers and acquisitions which would achieve the rapid development of enterprises.M&A is increasingly becoming an effective means of enterprises to optimize the allocation of resources,improve the industrial structure and improve the operating conditions.As a national key support industry,the number of enterprise have a rapidly growth in the Internet industry,and M&A between the enterprises becomes an effective way to develop the industry.M&A already has a long history of research in developed countries,but the Internet is the product of a new era.Therefore,it is not mature enough for relevant theoretical research about China's Internet business in M&A,academics are also in different words whether the acquisition of Internet companies could bring positive financial effects.At this point,exploring the reasons of Internet M&A and evaluating the impact of Internet M&A on the financial effect,which would not only to enrich the theoretical research of China's Internet business in M&A,but also to provide some principles,basis and strategy for the further development of China's Internet enterprises.Besides,it has some practical significance in the guidance of China's Internet companies to better implement mergers and acquisitions.This paper uses the methods of the combination in normative research and case study.In the part of normative research,a large quantity of literature at home and abroad is reviewed and summarized,and the motivations of Internet M&A are expounded from the theoretical level by using synergistic effect theory,market effect theory and transaction cost theory.At the same time,the analysis methods in characteristics of M&A and the financial effect are elaborated.On the basis of the factors,such as M&A motives,process and characteristics of the case,this paper analyzes the changes of financial and non-financial indicators,and analyzes the reasons for the change.Finally,the paper summarizes the research results and research inspiration of this case.The full text consists of five parts.The first part introduces the research background and significance of this paper,and constructs the research ideas and methods of this paper by summarizing the motivations and financial effects of M&A.The second part summarizes the theory of M&A,introduces the concept of M&A and the main payment method,and summarizes the motives of M&A on the basis ofcombining the theory of M&A.The third part is the case of Alibaba M&A Autonavi,the content includes: the merger of the two sides of the background information,the process of M&A,the feature of M&A and the reasons for M&A.The fourth part is the core content of the full text,the case study and comparative study by the detailed analysis on financial indicators and non-financial indicators changes of the Alibaba M&A Autonavi,which includes the change of profitability,the change of operational capacity,the change of the capacity,the change of the growth ability,the change of the market share and the change of the innovation ability.At the same time,it further explores the reasons for the success of the Internet M&A,which includes the synergistic effect of information and technology to improve the sales and resources of Alibaba,the effective integration of Alibaba to enhance the operational efficiency and the improvement in industrial chain for Alibaba to provide a new profit growth point.Combining the previous theory and case analysis,the last part concludes that M&A Autonavi enlarges Alibaba's market,optimizes the Alibaba's industrial chain and stabilizes the status of Alibaba in the same industry.In the end,the paper comes up with some revelations from M&A case.
