At present,China’s economic development needs to accelerate the adjustment of industrial structure and the construction of innovative nation.The continuous development of the national economy should have lots of innovative companies and large-scale corporate mergers and acquisitions,however,China’s current financial market financing system still has many shortcomings,which can not meet the innovation of enterprise mergers and acquisitions and related financing requirements,especially the innovative SMEs financing problems.The international experience shows that private equity funds can better solve the problem of high-tech and SMEs financing.Private equity fund has gradually developed into an essential way of financing.However,in the process of rapid development,as China’s capital market is not so perfect,the development of private equity funds still have problems as: laws and regulation defects,the relevant records retained for the record data distortion,raising funds in violation of the law,company does not take proper way of management,and the scarcity of talent.in this industry.Now,in the academic research area,the study on the development and the risk of the private equity fund has entered an upsurge.Therefore,it is necessary to speed up the development of private equity fund in China.This article solve the problem of how to perfect the relevant laws and regulations system,improve industry self-regulation,and improve risk control ability,professional training and other aspects,such as put forward the corresponding strategy and provide good suggestions for the development of private equity funds,which promote China’s economy healthy and rapid development.First,based on the economic development background of the necessity of development of China private equity funds,this essay reviewed the relevant research of domestic and foreign private equity funds,summarized the domestic and foreign scholars on the development of private equity funds on the general research,build the theoretical foundation for the following discussion;second,analyzed the current development of Chinese private equity funds;third,analyed the existence and development of China private equity fund issue,such as registration information distortion,non-compliance to raise funds,investment operations,illegal company management anomie and so forth;Fourth,the cause of the problem is also analyzed,such as the abuse of registration information,limited sources of funding,unaided moral hazard,industry talent scarcity.Finally,puts forward some countermeasures and suggestions to promote the development of China’s private placement fund,which accelerate the process of constructing the legal system,perfect relevant laws and regulations;these suggestion include improve self-discipline rules,improve the risk prevention and control ability;cultivate professional talents,improve industry access standards,appropriately reduce the non market intervention by regulatory authorities and self regulatory organizations and so on.
