With the formal introduction and implementation of the strategy of "going out" in the 17th National Congress of the CPC in 2007, the number of Chinese enterprises' foreign investment and the scale of capital have experienced a blowout growth. Regardless of the scale of foreign investment or foreign investment,China's state-owned enterprises have been the main force of Chinese enterprises to invest abroad.At present, although China has achieved fruitful results directly, but the investment is often concentrated in Asia,Africa and Latin America and other industries are relatively backward, lower market restrictions, due to the low rate of return on investment in the region, so the Chinese enterprises will focus In a more high-end European market, its strategy is to Central and Eastern Europe market as a springboard into the EU market. But Central and Eastern Europe is a geopolitical concept, the region there is political instability,market transparency is not high and cultural diversity and other characteristics, which have increased the risk of investing in the region. And China's foreign direct investment enterprises to state-owned enterprises,and state-owned enterprises own governance mechanism there are many drawbacks, the same will also adversely affect foreign direct investment, increase investment risk. Therefore, this paper combines the consideration of the investment environment in Central and Eastern Europe and the governance mechanism of state-owned enterprises, the selection of overseas investment in Poland, the more representative of this case to study the analysis of China's state-owned enterprises in the Central and Eastern Europe when the investment problems and experience (1) learn from Europe and the United States successful investment experience in Central and Eastern Europe,upgrade the "Chinese style of play";(2) do a good job on the target market pre-research, strengthen the risk assessment, improve the early warning mechanism; (3)take into account the interests of competitors, healthy competition, improve their own level of competition; (4) pay attention to the copy of the contract, cultivate the spirit of contract and enhance the legal awareness; (5) Strengthen the sense of social responsibility, take the initiative into the local community; (6) Improve the governance mechanism of state-owned enterprises, cultivate and introduce relevant professionals, improve business efficiency.
