Equity incentive originated in the west,and the research on the west is also more comprehensive,in recent years,as China’s economic and social development,the study of equity incentive in the reference and absorption of foreign based on the theory of continuous development and improvement,also achieved certain results.Based on the principal-agent theory,human capital theory and motivation theory as the theoretical basis,evaluation method of restricted stock incentive effect is mainly analyzed from three parts,first from the longitudinal analysis,financial analysis,at the same time,from the financial indicators of enterprises with the industry average exclusion effect of restricted stock incentive industry factors;then the horizontal industry comparative analysis,analysis of the implementation of stock option selection here mainly and not the implementation of stock incentive enterprises and teamsun comparison,also use the industry average to remove this part of the industry factors;finally,the research conclusion and suggestions for talent incentive and implementation effect.The case analysis is based on the information software service industry teamsun cases,the first is introduced the general situation and incentive scheme assessment target specific analysis;second is from the vertical financial analysis,teamsun before and after the implementation of restricted stock incentive,excluding changes in the enterprise’s solvency,profitability,operation ability,development ability,cash flow and earnings per share and the impact on the part of industry factors;the third is analyzed from the lateral industry,with the same industry in the implementation of stock option and comparative analysis without equity incentive from enterprises,asset liability ratio,rate of return on net assets,net operating cash flow per share and earnings per share of four and with average,median,maximum and minimum value of detailed analysis,carry out the data at the same time,the industry average of this part is from the fourth factors of industry exclusion;the implementation of incentives to retain talent and the introduction of specific restriction analysis,the teamsun implementation of restricted stock incentive not to introduce and retain talent,on the contrary,also caused some loss of talent,and pointed out the deficiencies of teamsun implementation of restricted stock incentive measures and put forward reasonable suggestions.The deficiency in the incentive plan of the large proportion of personal and high turnover number abstained;restricted stock incentive target is not clear,the standard is not reasonable;equityincentive may become the three aspects of the interests of the company means of transport.Through the above analysis of the specific implementation of teamsun restricted stock incentive enterprise value has not improved significantly,to stimulate small,did not achieve the desired results,combined with the inadequacies of the specific recommendations,the grant from the stock not too concentrated,should be fair and reasonable allocation;equity incentive assessment objectives should be complete and reasonable;to improve corporate governance,in detail four aspects to strengthen the internal supervision of enterprises,give reasonable suggestions,at the same time,also can make the research more equity incentive. |
