With the increasingly fierce competition in the market,building a sound and effective internal control system has become widespread valid method of enterprise to achieve strategic objectives,to resist the risk.As an internal mechanism of self-restraint and self-regulation,the function and value of internal control has been paid more and more attention both at home and abroad.It plays a vital and important role in the enterprise management system.In June 2008,Ministry of Finance jointly five ministries issued the "basic norms of internal control" and related supporting guidelines,requiring the listed companies to enforce it from January 1,2012.JZ Company-a private enterprise as a production and sales of feed as the main business,its management and internal control include not only the traditional characteristics of the industry,but also has its own characteristics.From the external factors,JZ is a "new three board" listed company,is preparing to raise to "motherboard" IPO,in accordance with the relevant laws and regulations required to establish and perfect the internal control system;from internal factors,JZ company puts forward the strategic development plan from "feed supply" to "livestock breeding" to "end market" industry chain in recent years.The enterprise will usher in rapid development and urgently need a set of perfect internal control system to escort it.With the basic norms of enterprise internal control,this paper analyzes the internal control research of domestic and external relevant organizations,academic teams and scholars,and in view of the lack of internal control cases of feed enterprises at home and abroad.This paper shows the internal control theory,and uses case analysis method,combining JZ company’s operating characteristics and strategic objectives,assessing the current situation of internal control from the five aspects as the internal environment,risk assessment,control activities,information and communication and internal supervision,to find the company’s existing internal control deficiencies.On this basis,the paper puts forward the design and improvement plan of JZ Company which is in urgent need of perfect internal control in the process of development.In this paper,the focus of the design of internal control is to improve the governance structure of JZ Company,construct the risk evaluation system and the control flow of sales and collection,financing and investment cycle.The research content of this paper is a useful attempt to combine the theory of internal control with the concrete management practice of the enterprise.This paper argues that the internal control system of an enterprise must be integrated with the operation and management of the enterprise.The internal control system is not independent of the existing management system,and is not a negation of existing management system,but a "integration" of the existing management system to help businesses reduce business risk,to maximize the value of enterprises...
