Equity incentive has become one of the most important means of modern corporate governance.In the 80 s of last century,it has been widely used in Western countries.Since 2006,China's share trading reform,many domestic listed companies have begun to follow the success of foreign cases to implement their own equity incentive plan.With the widespread use of equity incentive in enterprises,The equity incentive of listed companies has gradually become a concern of the market economy system.As an incentive,equity incentives to improve the corporate governance,especially to reduce the inherent contradiction in the relief of company owners and managers of the agency cost so as to improve company efficiency,play a positive role,important at the same time,in practice,also to further encourage employees,enhance the performance of the company's role but because of the market economy in our country is still not mature,also started later than western countries,leading to the current equity incentive problems still exist.Therefore the special national condition of our country,according to the development situation of different enterprises to develop their own specific equity incentive plan,there are a variety of problems to solve in the equity incentive plan in the implementation process,to promote the development of the enterprise purpose,which is in the current stage,need further research program Discussion on the analysis of China's equity incentive.This paper adopts Literature investigation method,case study,describes the general situation of equity incentive plan of YX company.The YX shares of the company two equity incentive plan is based on the research,combined with relevant research,analysis on the necessity of the implementation of equity incentive plans of the enterprise,the implementation effect of the related influence factors,and the equity incentive plan generated problems,and put forward relevant proposals,especially emphasized the importance of financial indicators,the is an effective supplement to the present based on financial indicators of the equity incentive evaluation methods.It is expected to provide the basic framework and theoretical support for the implementation of equity incentive plan in China's enterprises,so that the equity incentive plan will become an effective governance measures to promote the development of China's enterprises.
