Research On Financial Problems Of Mergers And Acquisitions

The research on this topic mainly studies the financial problems in the M & A process and is divided into five parts.Firstly,it introduces the significance of the research on this topic from the subjective point of view,introduces the main contents of this paper and the main methods of its application,and at the same time it summarizes the concept,motivation and influence of the M & A theoretically.Second,the research is based on the preparation before the merger and acquisition,mainly taking the valuation of the acquiring company and the target company as the research object.On the one hand from the acquisition company's self-evaluation of M & A evaluation,on the other hand from the evaluation of the target company M & A valuation.In the valuation of the target company,choose the appropriate evaluation method,this paper mainly from the theoretical point of view of the cash flow discount method,the market comparison method,the three methods of asset valuation method.Thirdly,the research is based on the financial problems in the process of M & A,mainly taking the choice of payment methods as the research object.In this section,we introduce the payment methods of M & A and the factors influencing the choice of payment methods.Among the payment methods of M & A,this paper studies three payment methods: cash payment,equity payment and comprehensive securities M &A.Among the factors that should be considered in choosing a payment method,one should consider the financial factors that affect the way the acquirer chooses to pay and on the other hand,the factors that affect the target company's choice of payment methods.Fourthly,the research mainly focuses on the financial problems after the M & A of enterprises and focuses on the financial integration and related tax treatment.In this section,the definition and characteristics of financial integration are introduced,the importance of financial integration and the content of financial integration are clarified,and the related tax treatment of M & A is summarized.Fifthly,this article takes the example of SL company acquiring 100% equity ofRunhao Company,and analyzes the background of the merger,motivation of M & A,mergers and acquisitions,financial risks and countermeasures.Through the above methods can help to improve the M & A financial mangement skills in the wave of mergers and acquisitions,improve the mangement of enterprises,so as to achieve the best possible scale of operation."Rain is coming",a new round of Chinese mergers and acquisitions will begin,in this round of M & A,Chinese companies are bound to keep up with the trend of international mergers and acquisitions.Through the motivation of M & A,the value evaluation of M & A,the payment method of M & A and the financial integration after M & A,the paper realizes the M & A of enterprises step by step and provides a reference for the future development of M & A enterprises and also provides a reference of the future in the knowledge source for development of China's economy.With the gradual growth of the national economy,the "13th Five-Year Plan" has gradually become clearer: the national strategies of Internet +,the Belt and Road,deepening reform of financial system and industrial restructuring and upgrading have more clear of the market's context.As an important means of optimal allocation of market resources,studing the issue of M & A is very important in this time.
