Research On Corporate Governance Evaluation From The Perspective Of Corporate Social Responsibility

With deepening of reform and opening up and the development of market economy,market competition intensified,corporate governance is starting to get the attention of many scholars and practitioners.In recent years,some corporate governance problems have occurred,that will not only restrict the healthy development of our country enterprise will also affect its competitiveness in the global market,therefore,it is necessary to evaluate the level of corporate governance in order to help them find problems and solve the problems.The traditional corporate governance theory focuses on maximizing shareholder's interests,ignores the rights and interests of other stakeholders,leading to frequent governance issues such as"sanlu milk powder" incident,foxconn employees frequently jump off a building,and all over the country in recent years frequent fog haze weather.The modern corporate governance improved the theory,encouraged all the stakeholders involved in day-to-day operations of the enterprise,which is consistent with corporate social responsibility.So this article selected the perspective of corporate social responsibility to research corporate governance evaluation,in order to establish a corporate governance evaluation index system under the perspective of corporate social responsibility,and help enterprise to evaluate corporate governance,find out the deficiencies in a timely manner to improve.This paper combined theory and practice.Firstly,this thesis combed the research status that the domestic and international corporate governance evaluation system as well as the relationship between corporate social responsibility and corporate governance,and then to stakeholder theory,social contract theory and balance theory as the theoretical basis,based on the comprehensive,balanced and comparability principle,preliminary established evaluation index system of corporate governance under the perspective of corporate social responsibility.Then,this thesis choosed the 2012?2015 Shanghai and Shenzhen a-share listed companies as samples,empirical researching and testing the evaluation index system of corporate governance under the perspective of corporate social responsibility.Finally,this thesis analyzed the empirical results,find out the current governance issues in our country enterprises and put forward the corresponding improvement suggestions.This thesis is divided into six parts,the first part is an introduction which mainly focus on the research background,theoretical significance and practical significance,research ideas and research methods,innovation and deficiencies.The second part is literature review,which combed existing research from two aspects:the first aspect is the general overview of the existing international corporate governance evaluation system,the second aspect is the general overview of the existing research about the relationship between corporate social responsibility and corporate governance.The third part is the theory summary,which expounded the related concepts and theories of corporate social responsibility and corporate governance evaluation system.It provided the theoretical support for the corporate governance evaluation research under the perspective of corporate social responsibility.The fourth part focuses on building corporate governance evaluation index system under the perspective of corporate social responsibility.It firstly established the construction principles of evaluation index system,then set up corporate governance evaluation index system under the perspective of corporate social responsibility according to the theoretical basis and the actual situation in our country.The fifth part is empirical study.In this part,the factor analysis was used to get listed company governance evaluation score model under the perspective of social responsibility.Then,it tested the model by empirical methods and got the research conclusions.The sixth part is the suggestion.It found governance problems of the listed companies in our country according to the results of empirical research analysis,and put forward improvement suggestions.Empirical analysis found that equity concentration is too high will have a negative impact on corporate governance under the perspective of corporate social responsibility.The size of the board of directors,board of supervisors and communication between members will have an important influence on corporate governance under the perspective of corporate social responsibility.The protection of the rights and interests of creditors,employees,supplier and consumers and the transparency of information disclosure have positive impact on corporate governance under the perspective of corporate social responsibility.
