Along with the development of socialist market economy and the boom of merger and acquisition.Merger,acquisition and reorganization among enterprises have become one of the core measures for the success and development of enterprises.In the process of merger,acquisition and reorganization,assessing the value of companies is the key as well as choosing the proper method for assessment,which will have great influence on the evaluation result.Methods for assessment in present seem to be subjective,or may not adapt to current scenarios,and evaluation measures vary from conditions.Based on free cash flow method and price earnings ratio method,setting T company as a case study,this dissertation focuses on analysing the applicability of the asset appraisal method,using the combination of discipline analysis and case study.The dissertation is divided into six sections.The first section is the introduction,and in this chapter,it involves research background and significance of T company,literature review at home and abroad,research method,innovation and limitations.The second section introduces basic concept and theory of company assessment,mainly introducing the roof theory of company evaluation,including concepts related to company value,company evaluation theories.The third part is environment analysis,and points out that the company accords with the application conditions of free cash flow method and price earnings ratio method.And then in chapter four,the author utilizes free cash flow model to evaluate T company and in the price earnings ratio method,then compares the result with that in current marker,finally discusses on the model which is beneficial to T company.The fifth section is the inspiration of company value assessment.The six section is the conclusions and future prospects,and after analyzing the data and statement above,it can be hypothesized that free cash flow method is the best way to assess T company value,and then points out some suggestions for the future research.This dissertation is based on the theory of company value assessment and financial management,summarizing the previous research results of company value assessment which cover the aspect of finance,accounting,management,economic.Through the combination of case study and theory analysis,it can be suggested that free cash flow method works more effective than other measures,hope that it can provide reference for other kinds of evaluation practice.
