State-owned enterprises play a vital role in promoting China's modernization and safeguarding the common interests of all citizens.In November 2013,with the release of the Decision of the Central Committee of the Communist Party of China on Deepening the Reform of Several Major Issues in the Third Plenary Session of the 18th Central Committee,A new round of state-owned enterprise reform kicked off at the same time in the traditional media and Internet media gap to further expand the industrial environment,the traditional media is facing the pressure of reform,through the merger and reorganization of media enterprises to adjust the stock structure for the reform of state-It is important.This paper first describes the definition of M&A,and analyzes the motivational theory and performance evaluation theory of M&A,and reviews the M&A process in the United States,Japan and China,and explores the relationship between M&A and state-owned enterprise reform.The case study part elaborates the process of mergers and acquisitions of BesTV and Oriental pearl,and discusses the motivation of M&A,and analyzes the problem from macroeconomic policy,industrial environment and micro group.This paper uses the event research method and the accounting research method to describe the performance of M&A and puts forward the way of deepening the reform of local state-owned enterprises,and provides reference for the reform of local state-owned enterprises in the media industry.
