Study On The Influence Of Independent Directors Of Listed Commercial Banks On Corporate Performance

Due to the governance structure of listed commercial banks of our country exists many problems,in order to strengthen the supervision of listed commercial bank management,to safeguard the legitimate rights and interests of minority shareholders the China securities regulatory commission requires all listed banks in 2002 before June 30 must employ two or more independent directors,at this point,the implementation of the independent director system in our country officially began.What is the effect of the independent director system in China's banking industry? Is the bank governance structure improved to a certain extent and the performance of banks improved? This paper tries to research on this aspect,so as to test effect of the independent director system in China's banking industry,to improve and perfect the system of board of directors of the listed commercial banks in our countryto provide empirical basis.This paper mainly studies the influence of the independent director system on the performance of listed commercial banks.First,respectively from the principal-agent theory,stakeholder theory,incentive constraint theory three aspects elaborated the theory basis of the independent director system,secondly,this paper use the method of empirical analysis,with five years of data,2012-2016 respectively examined measure three variables of the independent director system and the relationship between the performance of listed commercial banks.The empirical results show that,this article selects the measure of the independent director system of three variables,the independent directors and listed commercialbanks performance significantly negative correlation,the other two variables including the independent director compensation,the average attendance of independent directors and listed commercial banks performance significantly positive correlation;Finally,based on the analysis of the above conclusions,this paper puts forward some suggestions on improving the independent director system of listed banks.
