| Open innovation refers to the transformation of traditional closed innovation models into open-ended corporate innovation behaviors by introducing external innovation capabilities.M&A is an important way to achieve open innovation.Based on the open innovation perspective,this paper explores the mechanism of M&A value creation through typical cases.In the theoretical basis,this paper explains the related concepts of open innovation and M&A value creation,and on this basis,analyzes how to create value through open innovation in enterprise technology M&A activities.The case analysis section focuses on the strategic motivation of Geely’s acquisition of Volvo and the value creation process based on open innovation,and explores and confirms the logical connection between open innovation and M&A value creation.Finally,the countermeasures and suggestions for the problems faced by Chinese enterprises in technology mergers and acquisitions are given.The main contributions of this paper are as follows: Firstly,the theoretical framework of enterprise mergers and acquisitions value creation based on open innovation is proposed.The merger process includes three aspects: value identification,value acquisition and value creation.The integration of resources between the two sides becomes the innovation of open innovation.The key is to integrate the resource allocation and R&D direction to form a technological innovation product.The technical ability of the acquired party will be integrated into the merger and acquisition side.The relative technical gap between the two parties will be reduced,and the synergy effect of the resources of the two parties will be exerted.New value.Secondly,based on the proposed theoretical framework,the case study of Geely’s acquisition of Volvo is further carried out,and the process of mergers and acquisitions is sorted out.The key points and successful experiences of value recognition,value acquisition and value creation are explored from the perspective of open innovation,and theoretical summarization is carried out.Geely Automobile’s acquisition of Volvo is a classic case in which Chinese companies choose open innovation to realize value creation.The existing literature is less based on the perspective of open innovation to explore the internal mechanism of the value creation of technology acquisition in China’s auto industry.The research in this paper is helpful to understand and apply the theory of open innovation,especially when China’s auto industry conducts overseas technology mergers and acquisitions,how to achieve value creation through open innovation,so as to enhance the innovation ability of China’s auto industry.Certain reference significance... |
