The Research On Characteristics Of Corporate Tunnelled By Large Shareholders And Executives’ Collusion

As a core participant in the capital market,small and medium-sized investors,such as stock circulation in stock exchanges and financing of listed companies,are closely related to them.However,in the near future,with the increasingly serious conspiracy of large shareholders and executives,the enthusiasm of small and medium-sized shareholders to capitalize on the use of funds in their hands has declined.This has undoubtedly had a serious impact on China’s capital market.However,the current theory of conspiracy short-selling rarely mentions the company characteristics of the company being short-selled,and less research on the internal factors of the company being short-selled.This article takes Shenzhen protruly electronics Co.,Ltd as a case study,based on the theory of principal-agent theory,manager compensation theory,earnings management theory,etc.,using normative research method,comparative analysis method,statistical analysis method and other research methods,combining three companies in the same industry and other companies.In contrast,a company that is a conspiracy short-selling combines the process of collusion and short-cutting into the company’s financial data and non-financial data analysis,and digs into the company’s characteristic indicators of large shareholders and executives colluding.The results show that there are three characteristics of the company being hollowed out in the conspiracy,namely,management characteristics,corporate governance characteristics and financial indicators.After refining these features,the ten items that are hollowed out by the company are summarized.Iconic indicators.In order to better prevent and control the conspiracy of short-selling,this paper puts forward some suggestions from the ten characteristics of internal corporate governance and external supervision,and how to help stakeholders to prevent large-scale from the perspective of root causes.Shareholders and senior executives colluded with short-listed companies with reference value,which played an early warning role in the conspiracy of short-selling behavior,thereby promoting the healthy development of the capital market.
