Since the merger,Western companies have experienced five mergers and acquisitions,and each time there is a large number of diversified giants.Due to the influence of the wave of mergers and acquisitions in the world,Chinese enterprises began mergers and acquisitions.The earliest merger and acquisition began in 1984.M&A in China started late,although the time is short,but it is an important means for enterprises to expand and develop.Since 2010,a series of policies introduced by China have promoted the development of the cultural media industry to a certain extent.As a representative media company,Huayi Brothers development industry is inseparable from corporate mergers and acquisitions.This paper defines the concept of M&A and performance of cultural enterprises,summarizes the background of M&A of cultural enterprises,and clarifies the premise of M&A cases.Study the case and establish a performance evaluation system for M&A,including quantitative and qualitative analysis.Then,through specific case analysis,draw conclusions on the merger and make recommendations on improving the performance of the M&A.The M&A behavior of cultural media companies plays a certain reference role.This paper consists of six parts: The first part is the introduction,including the research significance and background of the case,research ideas and so on.The second part is a theoretical overview of corporate mergers and acquisitions,including related theories and literature review.Firstly,it discusses the basic overview of cross-industry mergers and acquisitions;secondly,it introduces the motivation and corresponding theoretical basis of cross-industry mergers and acquisitions,as well as the evaluation methods of performance after mergers and acquisitions.The third part is a detailed introduction to the case study in this paper.It introduces the basic situation and business operations of Huayi Brothers and Yinhan Technology.The fourth part analyzes the motivation and purpose of M&A based on the actual situation of both parties,including the external motivation of M&A and the internal motivation of M&A.The fifth part compares the performance of cross-industry mergers and acquisitions.The first is to analyze the changes in the short-term performance of Huayi Brothers before and after the merger,and then evaluate its long-term performance by using a series of accounting indicators of the four basic capabilities.Finally,the EVA is used to consider the input cost.In the case of analysis.The sixth part is the relevant conclusions and enlightenment based on the case analysis,which provides a certain reference for the merger and acquisition of the media industry.
