Research On Legal Relationship Of Accounts Receivable Securitization In Chinese Enterprises

The securitization of accounts receivable is based on asset securitization of accounts receivable as a basic asset.It is a form of asset securitization that first emerged and developed in the United States and other developed countries.In recent years,Chinese companies have also begun to try to use this to finance.Different from the financing method of the traditional loan method,it converts the lack of liquidity receivables originally existing between the creditor and the debtor into a tradable securities in the financial market through the securitization process.The debtor's credit risk is transferred to investors in the financial market through securitization.In the course of the securitization,multiple parties are involved and a very complicated legal relationship is created between the parties.The legal relationship penetrates every link.It restricts and affects the behavior of the securitisation parties and provides a favorable guarantee for the safe operation of the securitization of accounts receivable.However,there is no specific legal provision for corporate asset securitization in China,nor is there any detailed provision for the securitization of accounts receivable,and regulations and supervision are at the exploratory stage.Many aspects of legal characterization,such as legal subjects,objects,rights and obligations concerning the securitization of accounts receivable,are not clear.Therefore,this article combines our country's legislation and practice,and focuses on the legal relationship and content involved in the securitization of receivables in China under this special institutional environment.Only in this way can we be able to fill the gaps in the current law with a proper target,and thus build a legal system that embodies the unique objective law of the securitization,and is in line with the national conditions of our country.The significance of this study is here.
