Research On The Legal Position And Function Of The Communist Party Of China In The Corporate Governance Of State Owned Enterprises

State-owned enterprises refer to the enterprises whose capital is invested by the state and whose assets are 100%state-owned.They have absolute ownership of the enterprises'management and absolute control over the disposal of their assets.That is to say,the performance of state-owned enterprises depends on the will and interests of the state,which is indispensable to promote the development of the national economy.The missing part is an important body supporting the realization of socialism with Chinese characteristics.It is divided into central enterprises(state-owned enterprises supervised and administered by the central government)and local enterprises(state-owned enterprises supervised and administered by the local government)according to the jurisdiction of state-owned assets management.As the political core of state-owned enterprises,the Party organization's status and role in the governance of state-owned enterprises have not been highlighted due to historical reasons and restrictive factors.This paper discusses the orientation of The communist party of china in the governance of state-owned enterprises,mainly through three aspects of in-depth analysis,one is to analyze the current reform and development status of state-owned enterprises,and the party organization in the governance of state-owned enterprises to sort out the status quo,as well as the role of the party organization in state-owned enterprises to play.The second is to study the relationship between the Party organization and the state-owned enterprise shareholders'meeting,board of directors,board of supervisors,managers and the Party organization,and to analyze the causes of the positioning of the Party organization in the state-owned enterprise.Thirdly,how to realize the legal orientation of the Party organization,combing and thinking from the aspects of legal principles,duties and functions,and the relationship between the power levels.In accordance with the relevant contents of the Constitution and the Company Law,the responsibilities of the shareholders'meeting,the board of directors,the board of supervisors and the managers are clearly defined.By proposing relevant amendments to the Company Law and perfecting the formulation of the articles of association of state-owned enterprises,the party organizations and the responsible subjects of enterprise governance are made to take their respective responsibilities,coordinate their operation and have an effective system.
