On China' S Special Management Stock System

Since the 1980 s,the wave of state-owned enterprise reform has been set off all over the world.Most countries around the world have chosen the reform path suitable for their own countries.In the process of reform,European countries and many other countries have adopted the introduction of the golden stock system,or a special management stock system such as a multi-power system.It proves that these systems play a very significant role in the privatization of state-owned enterprise reform.Since our country entered the reform and development,we have been deepening the reform and accelerating the pace of the reform of state-owned enterprises.The special management stock system may be unfamiliar to most people.In fact,our country has tried to use this system in the process of state-owned enterprise reform from the beginning of the twenty-first century,which has solved many practical problems for the reform of state-owned enterprises.However,at present,the special management stock system is still in theoretical research and exploration practice.At this stage,there is a lack of specific system design,and the legislation is still in a blank state.Therefore,exploring the construction of the special management stock system has profound social,economic and political significance for the reform of state-owned enterprises in China.This paper mainly uses comparative research method,value analysis method and empirical analysis method to demonstrate,and the article is divided into four parts to discuss.The full text begins with an overview of the special management stock system.Firstly,it puts forward the basic definition,characteristics and functions of the special management stock system.Then it introduces its two existing modes: the gold stock system and the one-share multi-power system,which can intuitively recognize the manifestations of the special management stock system.Finally,it analyses the special management stock system.The development course and current situation of Dudu in Europe and other countries have gained some enlightenment for the development of special management unit system in China.The second part mainly introduces the current situation of the special management unit system in China.By describing the domestic background and practical needs ofestablishing the special management stock system in China,this paper shows the urgency of introducing the special management stock system in the period of deepening the reform of state-owned enterprises.Based on some successful cases of applying the special management stock system in China,the paper makes a functional analysis of the special management stock system.The third part of the article combines the actual situation of the reform of state-owned enterprises in our country,and analyses the possible problems of the state-owned enterprises under the immature market economy development,such as introducing the special management stock system,and draws the conclusion that there are legal problems of the blank state in the present special management stock system of our country.In the last part,aiming at the problems mentioned above,the author proposes to perfect the legal construction of the special management unit system in our country.The first step is to determine the basic principles of the special management unit system in our country,including non-discriminatory principle,proportional principle and legal certainty principle.The second part is to put forward the special management unit in our country.The specific legal construction of the system,starting from the five aspects of the scope of application,the main body of implementation,the hard conditions,the exercise time and the legal relief mechanism of the special management unit system,puts forward specific design opinions on the special management unit system of our country.
