The 21 st century is an era of digitalization,networking and informationization.E-commerce is growing globally like never before.The rapid development of mobile internet technology and the popularity of mobile terminals have made people break the embarrassment of e-shopping in the past.People can conduct online shopping anytime and anywhere,making e-commerce activities more convenient and efficient.The arrival of the 5G era will greatly enhance the shopping experience,but it is also the emergence of various new problems.Since 1994,China has promulgated a series of legal norms on e-commerce.On New Year’s Day in 2019,the country introduced a new e-commerce law specifically for e-commerce activities.The promulgation of this law has a milestone significance.E-commerce activities can be more comprehensive and professionally regulated and guaranteed by law,but because WeChat shopping has different characteristics from traditional e-commerce,even under the adjustment of e-commerce law,there are many omissions and unreasonable at the office.The premise and foundation of the establishment and effectiveness of the WeChat shopping contract lies in the conclusion of the WeChat contract.It is necessary to make the entire WeChat shopping activity proceed smoothly.It is particularly important and urgent to study the establishment of the WeChat shopping contract.Therefore,in the context of the introduction of the new law,how to combine the latest legal and theoretical results to sort out the whole process of WeChat shopping,has become a core part of the research WeChat shopping contract.The author divides WeChat shopping transactions into two forms according to the difference of the subject identity of WeChat shopping contract sellers,namely C2 C WeChat shopping transaction and B2 C WeChat shopping transaction.Specifically,the B2 C WeChat shopping transaction uses the public number platform to open an online store from the "Contacts" function of the WeChat account to conduct online trading activities with unspecified buyers.This form is basically the same as Taobao and other e-commerce models.Another relatively unique model is the C2 C WeChat shopping transaction.The buyers in the WeChat transaction release the product information in the “friend circle” by adding friends,and then negotiate the WeChat shopping contract with the buyer through the WeChat chat window.New trading model.This article focuses on the contract formation under the C2 C WeChat shopping model.C2 C WeChat shopping is a new e-commerce model derived from the WeChat “friend circle” function.Buyers and sellers generally add friends through the address book,or through acquaintances.The seller publishes the product information through the WeChat circle of friends.After the buyer and the seller become friends,they can post the text,picture,audio,video and other data information to the other party through the WeChat chat window to negotiate the contract with the other party.As far as the overall content of the article is concerned,it is mainly divided into the following four parts:The first part: mainly analyzes the development background of China’s WeChat shopping contract and its important research significance,the domestic and foreign research scholars’ views on such issues,the methods used to study the problem and the innovations of this paper.The second part: combing the general questions about the concept,characteristics and classification of WeChat shopping and WeChat shopping contract,and providing theoretical basis for the research and development of the contract subject and meaning expression.And made a theoretical analysis for the legal application of WeChat shopping contract.The third part: Mainly studies the subject matter of the WeChat shopping contract,starting from the perspective of the identity recognition and contracting ability of the subject,especially the related issues of the contracting ability of minors,and the relevant issues of the E-commerce Law.The regulations have been reviewed and discussed in detail,and the status and responsibilities of the WeChat platform have also been discussed in detail.The fourth part: Focusing on the meaning expression of the WeChat shopping contract,the specific contents of the main research objects expressed by the offer,the promise,etc.are separately elaborated,and the distribution of communication risk in the process of meaning expression is also discussed.,as well as the time、place of the contract.
