In the current background of China's economic development,financial market is palying a more and more prominent role,insider trading supervision is becoming more and more important.China's capital market is faced with the difficult situation of insider trading.It is imperative to improve insider trading legislation.The United States is the most developed country in financial market,espically,the legislation on insider trading is the most mature.Through the comparison of the legislation on insider trading between China and the United States,it absorbs the essence of the legislation on insider trading in the United States and combines the rule of law tradition and the reality of the capital market in China.It is an effective way to solve China's insider trading supervision.Firstly the paper analyzes and compares the basic elements of insider trading "insider information" and "insider trading subject" to explain insider trading behavior.Secondly,it analyzes the legislative basis of insider trading crime and the infringement of legal interests,and analyzes the necessity of the supervision of insider trading.Finally,the author compares the criminal liability and civil compensation of insider trading between the two countries and puts effective penal suggestions forward.The author aims to find legislative ideas for China's insider trading legislation reform in line with China's capital market by comparing the crime of insider trading between China and the United States,and by reflecting on the core purpose and basic principles of China and America's insider trading legislation.
