Comparative Research On Limited Liability Company Legal System In Russia And China

Nowadays,a limited liability company is considered to be the most popular type of entity for business owners entrepreneurs,and real estate investors because of it's quite simple to form,simple to manage,and simple to maintain.However,due to the different legal economic reform strategies and different constructions of the legal infrastructure,a legal system of limited liability company in Russia and China has a number substantial differences and features which have been identified in the comparative research of the principal legal characteristics of these entities and are seen in the incorporation procedure,the size of the registered capital and organization of management etc.These differences are definitely should be taken into account to improve Russian limited liability company legal system.Besides,the conducted research allowed revealing the peculiarities,advantages and disadvantages of limited liability company to increase economic cooperation,trade and investment between Russia and China as well as strengthen legal information exchange and cultural communication between Russia and China,promote cooperation among Russian and Chinese legal scholars and practitioners.Firstly,the dissertation describes and compares the legislative history and development of limited liability companies in Russia and China by using the comparative-historical method.Secondly,it analyzes and reveals the similarities and differences of limited liability company incorporation system among Russia and China: the main principles of incorporation,the shareholder and registered capital system,include the shift from actual capital contribution to authorized capital contribution,which has become the biggest bright spot in modification of Chinese Company Law,the address,the peculiarities of articles of association,the different versions and the important functions of the “Model” article of association which has became very popular in Russia since 2016 year.Thirdly,the dissertation gives a panoramic view of the limited liability company registration procedure,including registration documents,the company registration authority etc.,and analyzes the differences that lie in the limited liability companies registration system between Russia and China.Fourthly,the author reveals and compares the content and features of Russian and Chinese limited liability companies organization structure.Finally,the author pinpoints the main problems of Russian limited liability companies legal system and suggest to solve it by benefit from the Chinese legal experience.
