Company Capital System is an important part of Company Law,which has legislative purpose of protecting creditors,therefore the company capital system and creditor protection are closely related.The reform of company capital system in 2013,confirmed the company's registered capital from a paid-up capital system to a subscribed capital system.The abolition of restrictions on minimum registered capital of the company at set up time and the initial investment ratio,the proportion of money invested,etc.,which had a significant impact on creditor protection concept and approach selection.This article discusses the relationship between company capital system between creditor protection.The analysis of this article is in terms of the registered capital regulation,the three principles of capital and information disclosure three aspects,and gives some correspondingrecommendations to improve the protection of creditors.The first part discusses the relationship of company capital system and creditor protection,around the function of the capital system,reasons for creditor protection and the main form of capital system conduct for creditor protection.The second,third and fourth part of this article discusses the influences of reform of the capital regime had on creditor protection and reasons for that,from registered capital,three principles of regulation capital and information disclosure three point of views.The last part is based on previous analysis,from authorized capital regulation,registration system,information disclosure and accountability those three areas to explore the approaches and improvements of creditor protection post capital system reform.
