As one important form of internet finance innovation,equity crowdfunding,bearing the efficient genes of internet,plays an very important role in releasing the money of the crowd,solving the financing problems of SMEs and Start-ups.In order to clarify the legal issues of equity crowdfunding,America,the Great Britain and Italy published related regulatory files,thus promote the development of equity crowdfunding in those countries mentioned above.On the contrary,since its emergence in China,equity crowdfunding is facing abundant legal and institutional obstacles.In terms of the legitimacy of equity crowdfunding and equity crowdfunding platforms as well as investor protection,the existing laws and regulations is missing.For the sustainable development of equity crowdfunding,a regulatory system focusing on investor protection must be built to clarify the obligations of equity crowdfunding platforms and solve the legitimacy problems of equity crowdfunding.
