As a long-term incentive measure,equity incentive is a very important point in corporate governance.Equity incentive system plays an important role in helping enterprises improve their performance,attract outstanding talents and perfect corporate governance structure.However,there are some negative effects of equity incentive,which may lead to the senior management to pursuit stock price rising one-sided,false disclosure,incomplete disclosure and not timely disclosure of all kinds of financial and non-financial information,to achieve the purpose of exercising and the obtaining stock premium?The United States,as the birthplace of equity incentive,has led to frequent disclosure of false information.About the year of 2001,the problem of financial fraud because of the equity incentive resulting in the collapse of Enron,aroused people to think about the equity incentive.How to improve the information disclosure system under the equity incentive and improve the standardization of disclosure has become an important proposition.Through the analysis of the relationship between equity incentive and information disclosure,the paper finds out the factors that affect the information disclosure under the equity incentive information in China,mainly the imperfect internal and external governance of the company.By analyzing the factors that influence corporate governance and the experience of other countries,this paper puts forward some suggestions for corporate governance in china.This paper consists of three parts: introduction,text and conclusion,in which the text includes four parts.The introduction part mainly introduces the significance of this article is to promote the effective implementation of incentive in equity,to reduce its negative effect,to encourage the management of the company,to enhance the company's performance and management level,to protect the interests of investors by standardizing equity incentive of information disclosure from the perspective of corporate governance.At the same time,this part makes a literature review,introduces the research methods of this paper,and analyzes the innovation and shortcomings of this paper.The first part of the article mainly introduces the relationship between equity incentive and information disclosure.Both of them have the same theoretical basis——theory of asymmetric information,and both influence each other.On the one hand,normative information disclosure will improve the efficiency of capital market,so as to promote the implementation of equity incentive,while the information disclosure problems,affecting the effectiveness of the capital market,which will make the implementation of equity incentive to achieve the corresponding effect.On the other hand,the implementation of equity incentive system may make managers disclose information that is not true,not complete,not accurate and timely for their own interests because of the great incentive of interests.The second part of the text,makes an overview about the issue of information disclosure under the equity incentive.This chapter analyze the problem of the information disclosure of equity incentive from the point of motivation and possibility of the problems;then,analyze the relative factors from the point of view of accounting and corporate governance factors;and put forward the solotion to reduce the occurrence of the the problem——corporate governance.The third part of the paper analyzes the factors that influence the compliance of information disclosure under the equity incentive from the perspective of corporate governance,and puts forward some suggestions for the improvement of the current situation in china.In this chapter,several factors including ownership structure,remuneration committee,audit committee,independent directors,board of supervisors are chosen?Then the writer analyze how these factors affect the above problems,the present situation of our country's,how to solve and perfect these problems.The fourth part of the article analyzes the factors that influence the compliance of information disclosure under the equity incentive from the perspective of corporate external governance,and puts forward some suggestions for the improvement of China's current situation.In this chapter,from the capital market,a total of three aspects of the legal system and supervision,discusses how these factors affect the above problems,the current situation of our country is how,how to solve and improve these problems.
