Since the equity incentive system of listed companies has been established in China since 2006,the equity incentive has become a popular and incentive mode for listed companies in China.Corporate equity incentive has become an important means in the governance of listed companies in China.Equity incentive mechanism by the practice of more than ten for years,it has become a promote diversified compensation structure of listed companies,maintain the interests of shareholders of listed companies,stimulate the listed company operator and effective route to improve the core competitiveness of listed companies.In our country capital market vigorous promotion of equity incentive,in the United States,home to equity Incentive equity incentive scandals in recent years,such as company executives li ed about the exercise of the date of the equity,to manipulate the exercise price to obtain illegitimate interests;Some merican companies,mainly high-tech,have issued stock options that do not include the cost of distribution to labor costs,and exaggerate corporate earnings misleading investors.It is not difficult to make out,the equity incentive system is beneficial to the develoment of the listed companies in China and the United States,but it also has negative effects.Find and solve the problem of the listed company equity incentive system in our country,absorbing the advanced experience of foreign countries listed company equity incentive system and lessons,to promote healthy development of China's equity incentive have great help.This article takes our country listed company equity incentive mechanism as the research object,according to agent theory,human capital theory and incentive theory.the problem of equity incentive of listed companies in our country has carried on the theoretical analysis and research.The first chapter introduces the background,significance and domestic and foreign theoretical research results of the equity incentive system,expounds the contents and methods of the author's research,and puts forward the innovation points of this paper.The second chapter clarifies the concept,type and characteristics of equity incentive,and discusses the theoretical basis and function of equity incentive.In the third chapter,the author discusses the legal source,content and main problems of the ownership incentive system of listed companies in China.The author in this chapter,first of all,from the Angle of jurisprudence,analyzed the current our country listed company equity incentive system of normative documents.to explain the nature of legal relationship of equity incentive system,to our country listed company equity incentive system of the main body,object and main content are analyzed,and finally puts forward the main problems of the current system.In chapter four,the author mainly introduces the specific contents of the American and British equity incentive system.In the fifth chapter,the author puts forward some concrete Suggestions to improve the equity incentive system in China after comparing the problems of the equity incentive system in China and the equity incentive system in the United States and Britain,Chapter six summarizes the research achievements of this paper that the successful implement of equity incentive of listed companies in our country by the rule of law,the tax system,power capital,corporate governance structure and incentive plans many internal factors system integrity constraints.Perfect legal system,the flexible tax policy,the multi-channel line power source of funds,perfect corporate governance structure,fair planning agencies,and other factors,can affect the implementation of the listed company equity incentive effect.Perfect legal system,the flexible tax policy,the multi-channel line power source of funds,perfect corporate governance structure,fair planning agencies,and other factors,can affect the implementation of the listed company equity incentive effect.At the same time,the equity incentive system of listed companies in China has been continuously improved in practice,and it is fully exerting its institutional value and social significance.
