Research On Legal Issues Of Equity Transfer Contract

Equity is a kind of qualification for shareholders to obtain benefits in the company in order to participate in the management of the company.Because equity has the nature of mixing property and personality,it is not substantive,and it is invisible,resulting in equity transfer and other subject matter.Property transfer is not the same.In this case,a representative equity transfer contract dispute was chosen.It is precisely because of the particularity of equity transfer that the legal issues in this case are the focus of disputes.Scholars in academic circles have different views on the focus issues.This article aims to improve the legal system of installment payment related to equity transfer through research on the focus of case disputes,and to continue to promote legislative innovation.This article is divided into the following three parts to discuss:The first chapter introduces the basic facts,analyzes the basic facts,and sorts out the focus of the dispute through the facts determined by the court and the court opinions of the first and second instance.The second chapter analyzes the legal issues at issue from the perspective of jurisprudence.Including the legal analysis of whether the equity transfer contract applies in installments and whether the contract law is applied,and finally analyzes whether the equity transfer in this case can be released.The third chapter,on the basis of the previous two chapters,further analyzes the related problems in the legal regulation of equity installment contracts in my country,and then puts forward suggestions for solving the problems.One is to clarify the effective time of the equity transfer,the second is to clarify the legal system related to installment payment,and the third is to clarify the law applicable to the right to terminate the equity transfer contract.
