The Research On Equity Incentive Mode About Unlisted Companies

Now this century is a century which economic developed rapidly,every company knows it is important to retain excellent staff.Equity incentive mode can help to mobilize the enthusiasm of staff,to attract and retain excellent talented staff,it is useful to improve corporate governance structure and reduce agency costs.Equity incentive mode is also beneficial to enhance management efficiency,thus it prompt the company to enhance the performance.So the equity incentive mode is very effective to rapidly developed companies.In China,Equity incentive mode was used rarely in non-listed companies,it was applied very late,yet there is no more mature mechanisms and understanding about it,this dissertation will study the implementation of equity incentive mode,how to plan equity incentive mode for non-listed companies.According to the company's internal and external environmental changes in the equity incentive mode,then make effective adjustments and improvements in the implementation process.In addition,this dissertation concentrate on how to build an effective performance evaluation system,make a reasonable and correct evaluation of the incentive target,so as to improve the implementation of equity incentive system.Firstly,this dissertation describes the main research findings of the experts and scholars at home and abroad,and then describes the meaning of incentive stock options and its theoretical source,and describes the main types of equity incentive implementation mode.Secondly,this dissertation compares listed company and non-listed company when they use equity incentive mode.It is significant for equity incentive mode be applied in non-listed company.In addition,this dissertation presents barriers and put up measures.Analyze HW Company's equity incentive caseFinally,.the author put up some suggestions made a summary of this dissertation.
