Since China's reform and opening up,the social economy is developing rapidly,and the capital market environment of listed companies in China has changed greatly.Enterprises are more and more active in the capital market and play a more and more important role.Good system is the key factor for the sustainable and healthy development of the company.In the process of promoting marketization,a series of laws,regulations and policies related to China's capital market activities have been improved one after another,and the innovation of financial instruments has enabled enterprises to raise a large number of funds in the short term in the form of leverage.As a result,the control rights of enterprises are becoming more and more frequent.Vanke is a model company for corporate governance in China's real estate industry.However,the struggle for control of Vanke over the past two years between July 2015 and June 2017 caused a certain negative impact on Vanke.It can not help but re-examine Vanke's company.Governance model.This paper selects the competition for control rights between Vanke and Baoneng and other related parties in real estate leading companies and corporate governance models as a case study,and uses literature research methods,case analysis methods,and quantitative research methods to conduct research and analysis.The control of control over Wanke's consequences and the reasons for the controversy caused by this battle for control were analyzed.Vanke's experience and lessons learned from this incident were analyzed to provide countermeasures to prevent Vanke from retaking control of the control.The article first elaborates on the background,purpose,and significance of the research;then it systematically elaborates the existing research results and theoretical framework;then describes the disputes over the control of Vanke;then the consequences of the competition for control and the resulting one.Analyze the causes of the series of consequences;finally analyze and summarize countermeasures to prevent Vanke from falling into the battle for control again,so as to provide suggestions for Vanke's stable development.
