The market of China's catering industry is huge,which occupies an indispensable and important position in the economic field.But in recent years as the industry squeezed out of the bubble in the economic field.Many factors have led to the sluggish market in the Chinese food industry.In the face of the continuous decline of the whole environment,many Chinese enterprises have put the transition on the agenda.The research subject of this thesis is Cloud Live Technology Group Co.,Ltd,which is referred to as CLTG.It was born in the capital Beijing in September 1999.The predecessor of the company is Beijing Xiang e qing Co.,Ltd,its company abbreviation is“Xiang e qing”.Xiang e qing as "the first share of private catering enterprises",the main target of the business is the government officials and the senior business personages.It was the representative of high end catering enterprises in China.Under the circumstances of great changes in the environment,CLTG begin to frequent cross-border restructuring attempt,2012-2016 years have made as many as six transitions.The methods of literature review and case analysis are used in this paper.Combing with the relevant theoretical literature of cross-border transformation at home and abroad and with case analysis,the paper studies on the two aspects of cause and effect in the cross-border restructuring of the cloud network.Finally,draw a conclusion and give the following suggestions.Case analysis: First of all,a case background is introduced.The basic situation and development situation of CLTG before and after the transformation are expounded.Describes the process of transformation in the division of CLTG,to analyze the transformation of the mode;Focus on the effect of its cross-border transformation,Using the balanced scorecard method,we analyze the motivations and the impact on performance from the financial dimension,customer dimension,internal operation dimension,learning and growth dimension.On the motivation of cross-border transformation: the motivation of CLTG's strategic transformation is mainly influenced by policy factors,market factors,enterprise resources and capabilities,in addition,the reasons for the transformation of environmental protection,film,television and the Internet are also analyzed.The effect of strategic transformation: the strategic transformation of enterprises does not make the financial situation of the enterprise better,the performance of the enterprise after the implementation of the strategic transformation is not as good as before the transition.Non-financial analysis results shows that transformation reduces the reputation of the enterprise,result in the turnover of employee,leading to the instability of the company's architecture,the decline of the potential competitiveness of enterprises.According to the performance analysis,the cross-border transformation of CLTG eventually failed.The main cause was the cross-industry investment in the process of cross-border transformation.The target was not clear and the transition span was large.Besides,the operating model did not match and the board of directors was in name only.The shareholding structure,high concentration and sloppy management decisions are lacking of corresponding regulatory mechanisms.Combining the aforementioned problems and their causes in China Cloud Network,this paper has drawn relevant revelations: Firstly,a cross-border transition strategy for enterprises should be formulated to define a feasible cross-border transformation strategy and define the company's positioning,avoiding to make cross-border transformation blindly.Secondly,establishing a matching governance mechanism,adjusting the operation mode in time and attaching importance to talent training;Optimize the internal governance structure,give play to the role of directors and supervisors and stop the excessive concentration of rights;Introducing professional manager mechanism,introducing professional managers with cross industry experience,and perfecting the incentive mechanism for professional managers.In order to prevent the blind pursuit of short-term interests in the process of exploring cross-border transformation and ignore the long-term development of transformation,resulting in failure of transformation.
