With the process of world economic integration,China's market position is becoming more and more important.As the backbone of China's economic development,commercial banks expand the capital scale of enterprises and occupy the market opportunity through cross-border mergers and acquisitions.With the growth of Chinese enterprises' foreign investment and the continuous export of domestic capital,Chinese commercial banks are bound to follow the development pace of Chinese enterprises to carry out overseas expansion in order to support and serve the development of Chinese enterprises.However,the experience of Chinese commercial banks in "going out" lags far behind the financial institutions in developed countries,and their strategic awareness of globalization is weak.The overseas entry mode of Chinese commercial banks has gradually changed from the early new branches to the cross-border M & A mode,but compared with the United States,Japan,Europe and the United States and other developed countries,the international proportion of China's commercial banks entering foreign markets in the mode of M & An is not high,and the effect of M & An is less than expected.Therefore,it is necessary to pay attention to the relationship between the motivation,mode and performance of cross-border mergers and acquisitions of commercial banks,and to investigate the impact of post-merger integration on the performance of mergers and acquisitions,so as to explore an effective path for cross-border mergers and acquisitions of commercial banks in China.Provide valuable decision-making reference.This paper makes an in-depth exploration around the cross-border mergers and acquisitions of the banking industry,mainly with the Industrial and Commercial Bank of China as the core,analyzes the course of cross-border mergers and acquisitions of the Industrial and Commercial Bank of China,and analyzes the current situation and motivations.through the study of the case of cross-border mergers and acquisitions of Standard Bank of South Africa by the Industrial and Commercial Bank of China,through the analysis of the motivation,entry mode and performance expectation gap after mergers and acquisitions,Explore the influencing factors and mechanism of cross-border M & A performance of Chinese commercial banks,obtain the key factors of successful M & A,and explore the problems and countermeasures that Chinese commercial banks should pay attention to in cross-border M & A.it will help to improve the effectiveness of cross-border mergers and acquisitions and provide useful exploration and decision-making reference for the implementation of cross-border mergers and acquisitions in Chinese banks.
