The Research On Synergistic Effect Evaluation Of This Mergers And Acquisitions About Sanjiu And Guilin

In recent years,the mergers and acquisitions of pharmaceutical enterprises in China has been a frequent occurrence,and the amount of mergers and acquisitions has been updated year by year.Many pharmaceutical companies are trying to expand their scale and scope through mergers and acquisitions,advancing core competence.Mergers and acquisitions bring opportunities and challenges.In recent years,m&a failures.constantly emerging,m&a is a mark of success of mergers and acquisitions to achieve the synergy effect,how to judge whether m&a to achieve synergies,how to improve the coordination effect,further study of these problems to improve the success rate of m&a has the very:vital significance.Based on the analysis of CRC lump-sum acquisition of guilin and synergistic effect,through the establishment of financial index evaluation system,from the management synergy,management synergy,financial synergy make concrete analysis from three aspects,judge the merger synergies for situation,thus targeted find out reason and put forward solutions.This paper mainly adopts financial index method for comparative analysis,to:compare the financial data of the two years before merger and acquisition and the three years after merger,meanwhile,the financial data of sanjiu was compared with the average standard of industry and Yunnan baiyao.After comparing individual financial index,the financial index are then integrated and analyzed,then come to a conclusion.This paper first elaborates the research background,research methods and significance of this case,and briefly reviews the hot issues of mergers and acquisitions of pharmaceutical enterprises in China and abroad,Secondly,it introduces the theory of merger and acquisition and the payment method,to provide theoretical basis for post-text.Thirdly,it make a basic introduction to the case of the merger and acquisition of sanjiu.then it select the appropriate index to construct the financial index evaluation system,analyzing the synergistic effect of acquisition from three aspects:operation synergistic effect,management synergistic effect,financial synergistic effect,the comprehensive evaluation index method is used to evaluate the individual financial indexes.:Finally,according to the evaluation conclusion,we should analyze the reasons for the lack of synergistic effect of this case and make specific recommendations,which helps increase the success rate of mergers and acquisitions.
