Study On Synergistic Effect And Performance Of The Merger Of Zhongguo Medicine And Tianfang Pharmaceutical Industry

In the era of rapid development of our market economy,the living standards of the residents are gradually improving.People begin to pay attention to the quality of life and physical health,and the demand for medicine is gradually increasing.At the same time,China has gradually entered an aging society,and people's demand for health care products is also increasing.Therefore,China's pharmaceutical industry has entered a rapid development period.China's pharmaceutical enterprises have gained unprecedented opportunities for development.The number of pharmaceutical enterprises has increased,and the pressure of competition has gradually increased.In order to improve the competitiveness of the market,many pharmaceutical enterprises have adopted a combination of enterprises and reorganizations to expand the scale,extend the industrial chain,and establish a competitive advantage.In the field of circulation in China's pharmaceutical industry,Zhongguo Medical Health Products Co.,Ltd.has always been in a leading position and has a certain influence.The company and Henan Tianfang Pharmaceutical Co.,Ltd.are both listed companies in the pharmaceutical industry in China.In 2013,the two companies implemented a stock exchange and absorption merger.After the merger,the name of the company was Zhongguo Medical Health Products Co.,Ltd..This merger case has the economic significance of horizontal merger and vertical merger.This paper studies the synergy effect and performance of Zhongguo medicine and Tianfang medicine mergers and acquisitions,which are divided into six parts as follows: first,introduction,introduction of research background,research significance,review of relevant literature at home and abroad,introduction of research content,research methods and innovation points.The second is to explain the related theories of merger and acquisition and synergy,including the concept and classification of merger and acquisition and synergy,and provide theoretical support for the follow-up study of this article.The third is the merger and financial analysis of Zhongguo medicine and Tianfang medicine industry,introducing the general situation of the two companies and the process of merger and acquisition,and expounding the purpose of merger and acquisition.Fourth,the synergy effect analysis of the merger of the two companies,using related theoretical knowledge and evaluation methods,from the aspects of business synergy,management synergy,financial synergy and so on to study the synergy effect of the merger of the two companies.Fifth,based on financial performance and non-financial performance indicators,from the perspective of performance to analyze the corporate merger synergies.The sixth is the conclusion and suggestion,summarizes the article,and draws the relevant enlightenment.Through the case study of Zhongguo medical mergers and acquisitions,this paper puts forward several suggestions for pharmaceutical enterprises mergers and acquisitions: choosing complementary target enterprises,attaching importance to the effective integration of assets and talents.
