The reform of state-owned enterprises has always been the core content of China's economic system reform.State-owned enterprises shoulder two major functions,the embodiment of social systems and the functions of enterprises.These two major functions can be decomposed into three goals.First,the realization of public ownership is the micro foundation of the public ownership economy.Second,to achieve social goals,state-owned enterprises must complete the content of market failures and complete the parts that markets and private individuals cannot complete and are unwilling to complete.Third,state-owned enterprises must be as efficient as private enterprises.To this end,state-owned enterprises have undergone decades of reforms and explorations,starting from laid-off and diversion to starting to catch up and declining,and doing something wrong,from debt-to-equity-to-equity split reform to management buy-out,classified Reforms and the current mixed ownership reform of state-owned enterprises.It can be said that the reform of state-owned enterprises has never stopped exploring.Since the Third Plenary Session of the 18 th CPC Central Committee,the mixed ownership reform of state-owned enterprises was proposed and gradually entered the pilot process.At present,the third batch of pilots has been carried out.The scope of the trial covers electricity,petroleum,natural gas,railways,civil aviation,In the fields of telecommunications and military industry,the reform of mixed ownership of state-owned enterprises has been steadily advancing,and an increasingly perfect policy system has been established.There have also been positive developments in the field of practice.Before and after the party convened the 19 th National Congress,China has launched three batches of mixed reform pilots,involving a total of 50 companies.The Party's Nineteenth Congress also clearly stated that it is necessary to “deepen the reform of state-owned enterprises,develop a mixed-ownership economy,and cultivate world-class companies with global competitiveness”,pointing the way for the reform of state-owned enterprises' mixed ownership.In the process of reforming the mixed ownership of state-owned enterprises,how to motivate employees to become mixed-ownership reforms,state-owned enterprises must be a core issue in achieving modern corporate governance and ensuring the interests of employees.In the years of exploration,employee ownership has become an effective way to enhance the development of state-owned enterprises.How to effectively implement employee stock ownership? It is necessary to study the conditions of employee stock ownership,the proportion of shares held,and the specific measures for employee equity transfer and withdrawal.How to improve the restraint mechanism,strengthen supervision according to law,and strictly regulate the operation are problems that must be solved in implementing the employee shareholding in the process of state-owned enterprises' mixed ownership reform.As an old topic,employee stock ownership is once again being focused because the background is the mixed ownership reform of state-owned enterprises.In this reform process,how to embody the basic role of the socialist economic system and the formation of a modern company-owned enterprise? Incentive mechanism and governance structure are important background and significance of employee stock ownership in the process of mixed ownership reform of state-owned enterprises.From a large perspective,this is a manifestation of the socialist economic system.From a small perspective,this is the question of the establishment of a modern corporate structure and an incentive structure by state-owned enterprises in the reform of mixed ownership.In short,how to achieve the issue of employee stock ownership in the reform of state-owned enterprises' mixed ownership system is of great significance.What is the need for employee ownership in state-owned enterprises in China? What are the problems in the shareholding process? How to improve employee ownership in state-owned enterprises? These issues are worth exploring.Although the issue of employee stock ownership started relatively late in China,it also accumulated certain experience and there are also many supportive policies.In May 2015,the State-owned Assets Supervision and Administration Commission issued the “State-owned Assets Supervision and Administration Work Plan for the State-owned Assets Supervision and Administration Commission of the State Council in 2015,” and put forward 25 specific guiding opinions,including a series of management methods for pilot companies that have coordinated the development of employee stock ownership plans for local SASACs.,Strongly support the work of piloting employee stock ownership.Employee stock ownership as a reform mode of mixed ownership not only benefits the optimization of the ownership structure,but also allows the company's internal management and technical personnel backbones to have a sense of ownership and mission through the equity incentives,and to provide employees with personal benefits and long-term benefits for the company.Linked with sustainable development,it is of great significance to optimize the corporate governance structure,increase labor productivity,and establish a modern enterprise system.In accordance with the above logic,this paper has designed five chapters.The first chapter mainly introduces the research background and research significance of employee stock ownership in the reform of state-owned enterprises' mixed ownership system,as well as domestic and foreign scholars' research on employees' shareholding issues.The research methods of the employee shareholding in the mixed ownership reform of state-owned enterprises,and the possible innovations and deficiencies of this article.The second chapter introduces related concepts and theoretical foundations,and elaborates on key concepts such as employee shareholding.The relevant theoretical basis of this research is expounded from two aspects: Marxist economic theory and western economic theory.The third chapter describes in detail the development history of Chinese state-owned employees' shareholdings and the need to implement employee ownership.Chapter 4 describes the problems faced by employees and their causes in the process of mixed reforms in China's state-owned enterprises.Chapter V proposes corresponding countermeasures and suggestions for the issue of employee stock ownership.
