For complying with the trend of the rapid development of global market economy,to realize scale expansion of enterprises and the growth of the financial performance,form of merger and acquisition by more and more companies used for factors of production and the concentration of capital.And there is based on the reason for China's state-owned enterprises execute mergers and acquisitions,and state policies are helping state-owned enterprises reform,a wave of mergers and acquisitions in state-owned enterprises,the implementation of the strategy of "One Belt And One Road",state-owned enterprises bulk abroad m&a case is not in the minority.Based on the policy of strategic mergers and acquisitions,whether positive or negative effect for state-owned enterprises also depends on the reason of mergers and acquisitions and mergers and acquisitions after the m&a party and the target companies can play a synergistic effect.Therefore,based on the China south locomotive co.,LTD.of mergers and acquisitions as a case,analyses the case of m&a motivation as well as the implementation of the synergistic effect.This article first to the m&a motivation and synergistic effect,summarized the research status at home and abroad and the related theory of carding,provide theoretical basis for the back of the case analysis.Case part of the first car light on the internal and external motivations m&a both south and north of China,using the accounting index method and combined with the analysis of the above reason to find the basis of an analysis of the matching with this case the synergies in north and south China car m&a business,financial and management aspects of the synergistic effect.According to the in-depth analysis of the case,this paper conclude that China's north and south car mergers and acquisitions in the short term to achieve a certain degree of synergy,horizontal merger and acquisition of state-owned enterprises synergies to achieve enlightenment lies in the choice of mergers and acquisitions need to comply with the marketization of merger and acquisition,attaches great importance to the choice of target enterprise correlation,the rationality of the payment with the merger of the effective resources integration and build long-term synergy evaluation system and triggers the incentive effect.
