Research On The Motivation And Effect Of Corporate Mergers And Acquisitions

With the continuous development of economic globalization,the world economic activities within the scope of more and more,since 1980,to further promote the globalization in the world within the scope of the full development of the enterprise,has created countless opportunities,achieve the optimization of resource allocation,contributed to the emergence of enterprise merger and reorganization.With the expanding of capital,the enterprise of more or less involved in the development of merger,acquisition and reorganization of this form,and in the process of mergers and acquisitions may need some theoretical system and case analysis for support.Therefore,based on the starting point of rich m&a cases,this paper analyzes and summarizes two cases,aiming at providing references for enterprises to implement m&a.Based on the theory of m&a motivation and merger effect,this paper summarizes six theories of merger motivation and three theories of merger effect.In 2014,the car merging,and both the jinling petrochemical hospital pharmaceutical m&a in the same year,for example,from the enterprise background,economic theory,case analysis,the problem of creations,the results and reflection on several aspects,such as the specific research.Adopt financial analysis for car and jinling pharmaceutical industry in the process of mergers and acquisitions in China's financial situation carried on the thorough analysis,and using the method of two companies' stock time,short-term market reaction to explore in detail,at the same time,from the perspective of industrial structure,technological progress and so on to the north and south car merging,and jinling petrochemical hospital pharmaceutical m&a effects are analyzed and summarized.Finally it is concluded that the double case comparison summary,and for the merger,acquisition and reorganization of listed companies in our country puts forward six enlightenments for reference,aimed at the enterprise can more fully and scientifically based on the actual case to recognize m&a behavior,promote the smooth completion of the other enterprise mergers and acquisitions.
