Research On Corporate Governance Based On Partnership System

Corporate governance is the core content of the modern enterprise system.Its rationality is one of the important factors affecting corporate performance.At present,corporate governance in China is facing various problems.Many companies are committed to finding a corporate governance model that is more suitable for the company in the context of the technological revolution and economic restructuring.As a form of corporate organization,the partner system has a long history and has developed at different levels both at home and abroad.However,when it enters a new era,it is more proposed and applied to corporate-owned companies.The integration of the corporate system and the partnership system is obviously highly transformative.In China,the partner system first appeared in some Internet companies.Subsequently,Vanke,the leading real estate company in China,formally launched its unique partner system in April 2014,called the "business partner system."It is in this context that this paper adopts the method of combining theory with practice and is committed to studying the mechanism of the partner system.By reading,analyzing,and combing relevant documents of the partner system,this paper summarizes the basic connotation and function mechanism of the partner system.Among them,in view of the concept of the business partner system that has emerged in recent years in China,although past scholars have different definitions of the system,they basically agree that the system is a kind of corporate governance mechanism,born out of the limited partner system,and belongs to the partner system.One.Based on this,this article details the content and specific operations of the Vanke Partners system,and combines the theoretical basis of the previous article,and analyzes the mechanism that it contains.The horizontal and vertical analysis of Vanke's 2011-2016 financial and non-financial indicators further confirmed that the mechanism of the partner system should include: profit sharing mechanism,promotion mechanism and personnel training mechanism.In addition,in light of the deficiencies exposed by Vanke in the process of implementing the partner system,this paper proposes relevant optimization proposals in light of Vanke's specific circumstances,including the improvement of the partner system;avoiding insider control,returning to the management and the interests of shareholders.Essence;strengthen information disclosure.
