The rapid development of economy and the acceleration of financial system reform are all pushing forward the reform of rural credit cooperatives.In 2011,the CBRC announced that it would no longer form a new rural credit cooperatives,completely abolish the qualification shares,and gradually transform the eligible rural credit cooperatives into rural commercial banks.In 2014,the reform of the rural credit cooperatives in China initially achieved results,the corporate governance structure of shareholders' Congress,board of directors,board of supervisors and senior management has been basically constructed and started to run,internal management has been strengthened,brand effect has been highlighted,and capital strength has been gradually enhanced.However,because of the continuity effect caused by the existing problems,the old governance concept can not be changed quickly,and many historical problems,such as the province Cooperative Union problem,are difficult to be cured,these reasons lead to a far cry from the good corporate governance standards of modern commercial banks.It is particularly important that how to establish a scientific and effective corporate governance mode.Under this background,this paper,taking Z rural commercial bank as an example,combed the transformation process of Z agricultural business,and the existing problems after the transformation,combined with the basic theory of commercial bank corporate governance,and carried out an exploratory research on the governance structure of Z rural commercial banks.First of all,starting from the current situation of the corporate governance structure of Z rural commercial banks,this paper expounds the ownership structure,the board of directors,the board of supervisors,the executives and the stakeholders in the governance structure,and points out the main problems in it.Secondly,through the analysis of the problems,this paper makes a specific analysis on the feasibility of the choice of the governance model,and provides professional advice for the choice of the Z rural commercial bank governance model.Finally,it provides detailed and effective ideas and plans for the stock structure of Z rural commercial banks,the board of directors,the board of supervisors,the management and the organizational structure of the party.By optimizing the shareholders' meeting,the board of directors,the manager level and the supervisory board system of the Z rural commercial banks,the corporate governance model of the board of directors,management and supervision will be perfected,hoping to solve the practical problems in the corporate governance of Z rural commercial banks,hope to establish a reasonable and effective operation and management mechanism to form a corporate governance structure with distinct responsibilities,standardized operation,mutual restriction and mutual checks and balances.At the same time,I hope this paper can provide theoretical basis and decision reference for the sound management and healthy development of various rural commercial banks,so that it can quickly build up the framework of the framework,operate science,and govern the effective corporate governance model.
